1. About Expertuity
Expertuity is operated by Expertuity, LLC ("Expertuity", "we", "us", or "our"). We operate an online platform that connects qualified healthcare professionals ("Experts") with pharmaceutical companies, medical device manufacturers, healthcare organizations, and other life sciences entities ("Organizations") for the purpose of facilitating advisories, medical education programs, clinical studies, and other healthcare initiatives.
2. Eligibility
To use the Expertuity platform, you must:
Be at least 18 years of age
Have the legal capacity to enter into a binding agreement
If registering as an Expert, hold valid and active professional licensure or credentials in your field of practice
If registering as an Organization, be authorized to represent your company or institution
Not be prohibited from using the platform under any applicable laws or regulations
3. Account registration
When you create an account on Expertuity, you agree to:
Provide accurate, current, and complete information about yourself or your organization
Maintain and promptly update your account information
Keep your login credentials confidential and not share them with third parties
Accept responsibility for all activities that occur under your account
Notify us immediately at legal@expertuity.com if you suspect unauthorized access to your account
4. Expert conduct and responsibilities
If you register as an Expert on the platform, you agree to:
Accurately represent your credentials, specialties, and professional experience
Maintain active and valid professional licensure throughout your use of the platform
Comply with all applicable laws, regulations, and professional codes of conduct, including those governing consulting arrangements with industry
Disclose any actual or potential conflicts of interest as required by applicable law or your institution
Ensure your participation in engagements is consistent with your institution's policies (if applicable)
Not share confidential information disclosed by Organizations with unauthorized third parties
5. Organization conduct and responsibilities
If you register as an Organization, you agree to:
Use the platform solely for legitimate healthcare advisory, education, and research purposes
Comply with all applicable laws governing interactions with healthcare professionals, including the U.S. Anti-Kickback Statute, Sunshine Act reporting requirements, PhRMA/AdvaMed guidelines, and any similar regulations in relevant jurisdictions
Compensate Experts fairly and at fair market value for their time and expertise
Not use the platform to offer improper inducements to healthcare professionals
Maintain accurate records of all engagements facilitated through Expertuity
6. Engagements and payments
Expertuity facilitates connections between Experts and Organizations but is not a party to any engagement agreements entered into between them. Compensation, project scope, deliverables, and timelines are determined between the Expert and the Organization. Expertuity may charge service fees for use of the platform, which will be communicated separately at the time of account setup or engagement initiation.
7. Prohibited conduct
You may not use the Expertuity platform to:
Misrepresent your identity, credentials, or professional affiliations
Offer, solicit, or accept any form of improper payment or inducement
Engage in any activity that violates applicable healthcare laws or regulations
Scrape, copy, or republish any content or data from the platform without written permission
Attempt to circumvent the platform to conduct engagements outside of Expertuity
Upload or transmit harmful, defamatory, or unlawful content
Interfere with or disrupt the operation of the platform
8. Intellectual property
All content, features, and functionality of the Expertuity platform — including but not limited to text, graphics, logos, and software — are the exclusive property of Expertuity, LLC and are protected by applicable intellectual property laws. The "Expertuity" name and logo are trademarks of Expertuity, LLC and may not be used without prior written consent.
9. Confidentiality
Through use of the platform, you may be exposed to confidential or proprietary information belonging to other users or to Expertuity. You agree to maintain the confidentiality of such information and not to disclose it to any third party without appropriate authorization, except as required by law.
10. Disclaimer of warranties
The Expertuity platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of the platform or any content found on it. We do not guarantee the qualifications, credentials, or performance of any Expert or Organization on the platform.
11. Limitation of liability
To the fullest extent permitted by law, Expertuity, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of revenue, loss of data, or harm to professional reputation. Our aggregate liability to you shall not exceed the fees paid by you to Expertuity in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Expertuity, LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the platform, your violation of these terms, or your violation of any applicable law or third-party rights.
13. Termination
Expertuity reserves the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms of Service or for any other reason at our sole discretion. Upon termination, your right to access the platform ceases immediately.
14. Governing law and dispute resolution
These Terms of Service are governed by the laws of the State of [State], without regard to conflict of law principles. Any disputes arising under these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in [City, State]. You waive any right to a jury trial or to participate in a class action.
